Summary of Long Term Note Offering

Our long-term note offering provides our partners with a fixed-income investment with attractive risk-adjusted returns and additional liquidity options. Long-term noteholders can receive distributions in cash or accrue the interest earned throughout the life of the note. In addition, upon maturity of the note investment, partners can reinvest their investment into another note, convert their funds into equity, or redeem their funds.

When will my note investment begin to accrue interest?

Funds will begin to accrue interest beginning on the issuance date of their note investment. Quarterly interest earned will be calculated based on the number of days in the quarter.

How often are distributions paid out?

Distributions for noteholders are paid out no later than 15 days after the quarter ends but are typically paid out within about a week after the end of the quarter. We typically pay distributions by ACH.

What tax forms will I receive and when should I expect to receive them?

Noteholders can expect to receive a Form 1099-INT from our fund administration team no later than January 31st each year.

Summary of Equity Offering

Our equity offering allows investors to invest in a diversified portfolio of commercial real estate assets focused on generating excellent ongoing returns from operations. The Fund’s offering is best suited for investors who understand and align with the Fund’s investment strategy and value long-term partnerships.

All equity investments will be held in a temporary note ranging from 6-12 months from the deployment of funds. The interest earned on the temporary ranges between 6-8%. When the temporary note matures, the invested dollars will convert to equity and automatically purchase shares at the Fund’s latest share price.

  • Targeted total returns: 9-14%
  • Preferred Return: 8% paid quarterly
  • Profit Split: 70% investors, 30% manager after preferred return
  • Fees: 1.5% asset management fee
  • Minimum investment: $250,000
What are my distribution options?

Investors have the option of receiving distributions in cash or reinvesting distributions directly into additional Membership Units. Reinvested distributions are invested directly into equity (no temporary note required) and are invested at the Unit Price from the beginning of the quarter in which the distributions were earned. Generally, Members may change their reinvestment election up to two times per year by giving 90 days’ written notice to the Manager.

What tax forms will I receive and when should I expect to receive them?

Equity investors receive the K-1 for their equity investment in the fund around the beginning of April each year. Temporary noteholders can expect to receive a Form 1099-Int from our fund administration team no later than January 31st each year.
